Customer orders will be subject to Exemplar UK LLP payment terms of strictly 30 days from invoice date, except where specifically altered by written agreement by a partner of Exemplar UK LLP.

Exemplar are happy to extend credit terms to UK registered companies with a UK bank account upon receipt of purchase order or written confirmation of order by authorised individual. Credit terms will only be granted on a discretionary basis for all individual/personal production of work.

Exemplar UK LLP is registered in England and Wales and is a VAT Registered company

Commencement of trading or production is undertaken on the assumption that the terms and conditions of trade have been viewed and are agreed to.

The customer will enter into an agreement for the manufacturing and or duplication of music and other storage media (CD CD-Rom DVD DVD-Rom Print etc) with Exemplar UK.

The customer hereby warrants and guaranteed vis-à-vis Exemplar to the fullest extent, that they are entitled to enter into this manufacturing agreement with Exemplar, in particular that he/she is the legal owner of all applicable copyrights, rights to use, exploitation rights and that the carrying out of the manufacturing agreement in no way infringes upon any third party rights. The sole responsibility and liability for any such infringement upon third party rights lies solely with the customer.

In the event any claim will be raised against Exemplar based upon such infringement of third party rights, the customer will undertake to indemnify and hold free from harm Exemplar to the fullest extent from such third party claims. In addition, the customer will reimburse Exemplar all resulting production costs as well as any cost of protecting and defending its rights. ‘Third Party Rights’ as used in the aforementioned sentences include, but are not limited to, such rights as the collection and enforcement of which has been assigned to collective exploitation associations such as GEMA and MCPS and regardless in which matter intellectual property rights are being performed and broadcast (e.g. background music)

This declaration of warranty and indemnity shall apply to manufacture of the product between Exemplar and customer regardless of whether in all instances an explicit reference will be made to it or whether it will be attached to all future manufacturing agreements or not.
